聚焦国际制裁对船舶租赁及航运交易的合规挑战与发展趋势

(2025年9月11日,上海)——在全球地缘政治和经济环境持续复杂化的背景下,航运业的合规问题愈发成为业界关注的焦点。9月11日,航运经纪人俱乐部在上海北外滩航运服务中心成功举办了“国际制裁对船舶租赁及航运交易的合规挑战与发展趋势”专题研讨会,吸引了来自船东、租赁公司、船厂、船舶管理公司、经纪机构及相关金融与法律服务机构的五十余位嘉宾参加。
Shanghai, September 11, 2025 — Against the backdrop of increasingly complex geopolitical andeconomic developments, compliance issues in the global shipping industry havecome under heightened scrutiny. On September 11, the United Shipbrokers Clubsuccessfully hosted a workshop titled “International Sanctions: ComplianceChallenges and Trends in Ship Leasing and Shipping Transactions” at theNorth Bund Shipping Service Center in Shanghai. The event brought together morethan 50 participants, including shipowners, leasing companies, shipyards, shipmanagement firms, brokers, etc.
本次活动邀请到礼徳律师事务所合伙人王芳律师作为主讲人,分别从中国航运企业的实际合规挑战与国际法律框架下的案例解析两个角度,深入解读了美国、欧盟、英国最新的制裁动态及其对全球航运交易的深远影响。
The workshop featured keynote speaker Ms.Zeldar Wang, Partner at Reed Smith Richards Butler LLP. Zeldar sharedinsights from different perspectives, focusing respectively on the practicalcompliance challenges facing Chinese shipping enterprises and theimplications of international sanctions under U.S., EU, and UK law.
在演讲中,王芳律师指出,制裁已不再仅是法律合规要求,而是关乎航运企业能否保持业务稳定和资产安全的核心议题。她强调,船舶租赁合同的条款设计、交易路径的选择以及对承租人和管理人的尽职调查,都是防范制裁风险的关键。
Zeldar emphasized that sanctions today areno longer just a legal requirement but a core factor in ensuring businesscontinuity and asset security. She highlighted the importance of contractdesign, transaction structuring, and due diligence on counterparties and shipmanagers in mitigating sanction-related risks in ship leasing and charteringpractice.
随后,王芳律师结合多个国际经典案例(包括 O v C (2024)、Lamesa v Cynergy (2020)、Kuvera v JPMorgan (2023) 及 Gravelorv GTLK Asia (2023)),剖析了制裁对合同履行、资金支付以及仲裁执行的复杂影响。她特别提醒,制裁条款在合同中的设计至关重要,单纯依赖传统的不可抗力条款往往不足以应对制裁风险。
Ms. Zeldar Wang provided an in-depthanalysis of recent developments in U.S. secondary sanctions, the EU’s 17thsanctions package, and the G7 oil price cap mechanism. Drawing on landmarkcases such as O v C (2024), Lamesa v Cynergy (2020), Kuvera vJP Morgan (2023), and Gravelor v GTLK Asia (2023), she illustratedthe complex ways sanctions affect contract performance, payments, andarbitration enforcement. She cautioned that traditional force majeure clausesare often insufficient, stressing instead the need for carefully draftedsanctions clauses to address evolving legal and commercial risks.
研讨会还设置了互动问答环节,航运经纪人俱乐部特别邀请到了环球律师事务所合伙人赵德铭律师、四维乐马律师事务所合伙人周琦律师与王芳律师展开一场专业水准极高的三人对话,继而引发了其他参会者的提问。会议嘉宾就“制裁下的船舶运营监控”“租赁合同中的风险分配”“合规体系建设”等问题进行了热烈讨论。与会者普遍表示,通过研讨会不仅加深了对制裁合规的理解,也获得了在实务操作中可借鉴的策略与工具。
The workshop concluded with a panel discussionsession with another two famous marine lawyers, Mr. Qi Zhou from SLOMA &Co. and Mr. Deming Zhao from Global Law Office in addition to Zeldar Wang.Three senior lawyers brought their professional insights into the workshop andled to further interactions with attendees, during which participants engagedin lively discussions on issues such as voyage monitoring under sanctions, risk allocation in leasing contracts, and building robust compliancesystems. Attendees noted that the workshop not only deepened theirunderstanding of sanctions compliance but also provided practical strategiesand tools for navigating real-world challenges.
俱乐部一贯致力于为航运及相关行业专业人士搭建交流与学习的平台,帮助企业在全球化和高度不确定的环境中识别风险、把握机遇、探索可持续发展的路径。和航运经纪人举办的其他活动一样,今天会场气氛也十分热烈、活跃。会议到了预定结束时间大家仍然兴致浓厚。最后,在会议主办方的再三催促下,会议终于在五点前圆满结束。
